These Terms & Conditions ("Terms") govern your access to and use of the website and services of OPT1MUS CORP, a Udyam-registered MSME (Micro Enterprise), India ("we", "us", "our"). By accessing the Services or purchasing from us, you agree to these Terms. If you do not agree, do not use the Services.

We provide agentic AI software and services, including the AI Concierge and related AI agents, set-up, configuration, and ongoing subscriptions. Specific deliverables, scope, and fees are described in your order, proposal, or statement of work (SOW).

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of information you provide and for activity under your account or credentials.

Fees are stated in your order or on our pricing page and may be one-time set-up fees and/or recurring subscriptions. Unless stated otherwise, fees are exclusive of applicable taxes. Payments are processed by third-party gateways (e.g., Razorpay/Stripe) and via UPI for India. Late or failed payments may result in suspension.

You agree not to misuse the Services. Use is also governed by our Acceptable Use Policy, which is incorporated into these Terms.

We retain all rights in the Services, software, and our materials. Subject to payment, you receive a non-exclusive, non-transferable right to use the deliverables for your business. Content you provide remains yours; you grant us a licence to use it to provide the Services.

AI-generated output can be inaccurate, incomplete, or unsuitable for your specific situation. You are responsible for reviewing output before relying on it. See our Disclaimer.

The Services rely on third-party providers (AI models, hosting, payments). Their availability and terms are outside our control, and we are not liable for their acts or outages.

The Services are provided "as is" and "as available" without warranties of any kind to the maximum extent permitted by law. To the extent permitted by law, our total liability arising out of or relating to the Services shall not exceed the amounts you paid to us in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

You agree to indemnify us against claims arising from your use of the Services in breach of these Terms or applicable law.

Either party may terminate as set out in your order; we may suspend or terminate for breach or non-payment. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of India. Subject to applicable law, the courts at [CITY, STATE], India have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
